Electronic signatures in Germany
Germany is an EU member state and follows the eIDAS Regulation (910/2014). However, Germany's Civil Code (BGB) has specific 'written form' (Schriftform) requirements for certain contract types, and these require a qualified electronic signature (QES) to satisfy the written form requirement electronically. For contracts without a written form requirement (most commercial agreements, NDAs, service contracts), a simple electronic signature (SES) is sufficient. Germany's courts have upheld SES in commercial contexts.
What you need to know
- §126a BGB: a document requiring written form (Schriftform) can satisfy the requirement electronically only with a QES.
- Most commercial contracts (including NDAs, service agreements, and consulting contracts) do not require Schriftform. SES is sufficient.
- Employment contracts in Germany technically require written form for some elements (e.g. fixed-term employment clauses). QES is recommended for employment agreements.
- Consumer contracts often have specific formal requirements. Check applicable law for the contract type.
