Overview

Electronic signatures in Germany

Germany is an EU member state and follows the eIDAS Regulation (910/2014). However, Germany's Civil Code (BGB) has specific 'written form' (Schriftform) requirements for certain contract types, and these require a qualified electronic signature (QES) to satisfy the written form requirement electronically. For contracts without a written form requirement (most commercial agreements, NDAs, service contracts), a simple electronic signature (SES) is sufficient. Germany's courts have upheld SES in commercial contexts.

What you need to know

  • §126a BGB: a document requiring written form (Schriftform) can satisfy the requirement electronically only with a QES.
  • Most commercial contracts (including NDAs, service agreements, and consulting contracts) do not require Schriftform. SES is sufficient.
  • Employment contracts in Germany technically require written form for some elements (e.g. fixed-term employment clauses). QES is recommended for employment agreements.
  • Consumer contracts often have specific formal requirements. Check applicable law for the contract type.
  • InkRobin produces SES, which is appropriate for most commercial contracts between businesses in Germany. For employment contracts or contracts requiring Schriftform, consult a German lawyer about QES.

Common exclusions

These document types typically require a handwritten or notarized signature in Germany.

  • Contracts requiring Schriftform under §126 BGB without using QES (e.g. fixed-term employment contracts, suretyship agreements)
  • Real property transfer agreements (require notarization in Germany)
  • Marriage contracts and family law documents
  • Wills
About InkRobin

What InkRobin produces

InkRobin produces a Simple Electronic Signature (SES): the baseline tier under eIDAS and equivalent frameworks. SES is valid for most commercial contracts in Germany. It is not a Qualified Electronic Signature (QES), it does not involve a digital certificate from a Certification Authority, and it is not a substitute for notarization. For specific legal advice, consult a qualified lawyer.
